PARTICULAR TERMS AND CONDITIONS OF USE OF THE SUPPLIER WEB APPLICATION
Access and use of the Supplier Web Application implies the express and unreserved acceptance by the user of the generic conditions of use for the website of Iberdrola, S.A., (hereinafter "Iberdrola") www.iberdrola.com as well as the "Privacy Policy" and the following particular Terms and Conditions (the "Particular Terms and Conditions of Use").
By using the Supplier Web Application, the user expressly declares that he or she is aware of these Particular Terms and Conditions of Use, accepts them, undertakes to comply with them and fully accepts any responsibility that may arise from failure to comply with them, both with respect to Iberdrola and with respect to third parties affected by said non-compliance.
The Supplier Web Application accessed by you (hereinafter the "user") is a tool for the administrative management of Iberdrola suppliers or any of the companies of its business group in accordance with commercial law ("Iberdrola group"):
- Management of identifying data (Name, Address, etc.)
- Management of bank data
- Relevant tax information for payments (Residence Certificate, Tax Office Debt Certificate, etc.)
- Display of transactional information of the administrative process (invoices, payments, orders)
The supplier's access to the Web will remain in force while it continues activity with Iberdrola, and will be cancelled when it ceases.
In the event that Iberdrola amends these Particular Terms and Conditions of Use, it will notify the registered user in advance so that he or she can accept them in order to be able to continue using the service.
References to Iberdrola shall be understood as being made generically to the Iberdrola group.
Access to the Supplier Web Application and deactivation
The first time the Supplier Web Application is accessed, the user must register and define: (i) a user name, generating an identification code; and (ii) a password that will allow you to enter the Supplier Web Application on subsequent occasions and manage your profile. If the user forgets his/her password, he/she can use the password reminder option, which will start the password change process.
During the registration procedure the user must expressly accept the Privacy Policy and the Particular Terms and Conditions of Use.
The supplier will have a main user (the "Administrator User") who can request the modification of the supplier's master data and create new user accounts associated with the supplier.
Updating or amending the personal data of this Administrator user involves creating a new user with the definitive data, reassigning the administrator user role to the newly created user and blocking the initial one.
The Administrator User may include new users associated with the supplier. These new users are managed by the Administrator User, who has access to the following information about each one (name, identification code, email, status).
The Administrator User can perform the following actions on the users associated with the supplier's account: add users, delete, assign/change administrator, reset the password of these users, as well as block/unblock them.
The cancellation of supplier users will be carried out at the request of the Administrator User to the Supplier Service Centre by means of an email to cas.admon@iberdrola.es.
User responsibility
Each registered user has an authorised user name with a password, i.e. username and password. Therefore, access is password protected and the user is obliged not to disclose it to any other person. The user undertakes to do everything in his/her power to prevent the unauthorised transmission of the password and agrees to take full responsibility for all activities carried out with this password.
Furthermore, the user must not forget to log out of the application when he or she no longer needs to access it. Likewise, the user accepts that Iberdrola will not incur any responsibility with regard to the unauthorised use of his/her password and that he/she must notify of its loss, disclosure or any incident that may jeopardise its security as soon as he/she becomes aware of it.
The user undertakes not to engage in any conduct that violates the intellectual or industrial property rights of Iberdrola or of third parties, or in actions that may cause the destruction, alteration, disabling or damage to the data, programmes or electronic documents included in the Supplier Web Application, or to manipulate the software used by Iberdrola for this application.
The user undertakes to make appropriate and lawful use of the Supplier Web Application, as well as of the contents and services, in accordance with applicable legislation at all times, these Terms and Conditions, generally accepted moral standards for behaviour and good practices, and public order.
The user undertakes at all times to provide truthful information about the data requested in the registration form or in data modifications, and to keep them updated at all times.
User commitments. Confidentiality
Iberdrola makes certain information that will be considered Confidential Information available to the user, in accordance with the provisions set out below.
In order to guarantee before any company of the Iberdrola group the reservation and custody of the Confidential Information to which the user will have access, the user agrees:
1. To maintain the strictest confidentiality with regards to all Confidential Information (as defined below), and not to disclose it, in whole or in part, to persons outside the Iberdrola group, or even to employees of the Iberdrola group (unless strictly necessary for the proper performance of their duties), and not to communicate, publish or otherwise disseminate to third parties any Confidential Information received from any company of the Iberdrola group, customers, suppliers, debtors or employees, all except with Iberdrola's prior written consent.
For the purposes of these Special Terms and Conditions of Use, "Confidential Information" is understood to be any information to which the user has access in the course of his/her professional duties, including but not limited to:
- Personal Data, Transactional Data, banking data and any other information, financial or otherwise, referring to suppliers, debtors and employees of the Iberdrola group, as well as data about the Iberdrola companies themselves.
- Information of a technical, financial, legal, fiscal, environmental and commercial nature, as well as information created, prepared or formulated using the above.
- All Iberdrola applications, operating systems, techniques, methods, procedures and contacts, including diagnostic instruments, drawings, designs, graphs, plans, diagrams, specifications and software.
- Any other materials and private or confidential information concerning the business of Iberdrola and its conduct or way of behaving, which is not generally known to third parties.
For the purposes of this document, "Personal Data" means any information about an identified or identifiable natural person under the terms of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (“General Data Protection Regulation”) and with Organic Law 3/2018, of 5 December, on the Protection of Personal Data and the Guarantee of Digital Rights ("LOPDGDD").
For the purposes of these Special Terms and Conditions of Use, "Transactional Data" is understood to be all information on contracts, purchase orders, invoices, payments and collections relating to suppliers and debtors of the Iberdrola group, bank account number, social security number, financial and solvency data of third parties, current payment situation with the social security and/or Tax Office, embargoes, invoicing data, turnover, as well as all information relating to contractual relations with third parties.
2. To use the Confidential Information exclusively to carry out the services in accordance with the contract signed with Iberdrola and not to use it, in any circumstances, for any other purpose. In this sense, I declare that I am aware that the failure to comply with the obligations regarding the use, reservation and custody of the Confidential Information could constitute a failure to comply with the terms established in the contract and in the applicable legislation in force, without prejudice to the civil or criminal responsibilities that, where appropriate, may arise from the infringement, as well as the obligation to pay compensation for losses and damage caused.
3. To maintain the strictest secrecy over all Confidential Information (including invoices and their contents) and not to reveal it, either totally or partially, nor to communicate, publish or disseminate it to persons outside the Iberdrola group.
4. To comply with the Iberdrola Code of Conduct for Directors, Professionals and Suppliers in force at all times and accessible on its website.
